By using the ‘LPP GLOBAL FOR LEGAL CONSULTANCY’ website and any of its associated services and functionality, you acknowledge and agree to be bound by these terms and conditions ("Agreement").

Thanks for using LPP Global Legal Consultancy. These terms of service ("Terms") cover your use and access to the products, services, software, platform and websites (collectively, "Services") provided by LPP Global Legal Consultancy (collectively, "LPP Global for Legal Consultancy "). By using our Services, you agree to be bound by these Terms as well as our Privacy Policy. If you are using our Services as the employee or agent of an organization, you are agreeing to these Terms on behalf of that organization. Please note that the statements set forth under the headings "More simply put" are provided as a courtesy solely for your convenience and are not legally binding or otherwise intended to modify these Terms in any way.

You must be the legal age of majority in your state of residence or otherwise able to form a binding contract with LPP Global Legal Consultancy in order to use the Services. In no event is use of the Services permitted by those under the age of 21.

1. Key Definitions

  • Client means anyone who uses and has access to the services, software, platform and websites and is referred to as "You" and "Your" in this user agreement.
  • Intellectual Property means all intellectual property rights of whatever nature anywhere in the world conferred under statute, common law or equity and includes rights in respect of or in connection with copyright, whether or not registered or registrable, and includes the right to apply for or renew the registration of such rights.
  • Legal Professional or Attorney means a qualified lawyer with a valid practising certificate or other professionals qualified to provide legal services (e.g., migration agent, conveyancer, patent attorney or trademark attorney).
  • Senior Attorney refer to a qualified lawyer with a valid practicing certificate for more than ten years in providing legal services (e.g., civil, commercial, real estate, conveyancer, patent attorney or trademark attorney). The senior attorney has a relationship with LLP Global for Legal Consultancy but is neither an associate nor partner.
  • Website means the website https://www.lppglobal.com or any other website owned or operated by LPP Global Legal Consultancy.
  • ‘You’ and ‘Your’ refer to an individual, company or organisation that has visited, read or is using the Website and/or the its associated products or services.
  • Court refer to Fujairah Courts.

2. About the LPP Global Legal Consultancy Website

2.1 The LPP Global Legal Consultancy Website is a platform that provides technology powered legal assistance products and services to clients, legal professionals, sole practitioners, in-house counsel and law firms of all sizes.

2.2 The Website is provided and operated by LPP Global Legal Consultancy. Access to and use of the Website, or any of its associated products and/or Services, are provided by LPP Global Legal Consultancy and/or relevant third parties. Access to and use of any third party products and/or services through the Website are subject to these terms and conditions (the “Terms“) and any third party terms referenced herein or brought to your attention during your use of the Website and/or its associated products or services.

2.3 Please read these Terms carefully. By using, reading or browsing the Website, registering as a Member, making payments and/or clicking “I agree”, this signifies that you have read, understood and agreed to be bound by the Terms and our Privacy Policy found at https://www.linktoprivacy policy. If you do not agree to the Terms or the Privacy Policy, you must cease usage of the Website and any of its associated products or Services immediately.

2.4 LPP Global Legal Consultancy reserves the right to review and change any of the Terms by updating this page at its sole discretion at any time. Any changes to the Terms will take effect immediately from the date of their publication. Your access and use of the Website after LPP Global Legal Consultancy makes any changes constitute your acceptance of any such changes and you will be bound by those changes. If you do not agree to any changes, you must cease usage of the Website and any of its associated products or Services immediately.

3. Membership

    • LPP Global for Legal Consultancy is a contemporary and innovative legal services Platform that effectively meets the needs of and is fulfilling for both, the client and the attorney. We aim to partner with self-employed lawyers to help them create a sustainable representation and a visible profile in the legal services market.
    • If you are a Legal Professional, to be a part of the Platform, you are required to apply for registration. Once your application is submitted, you will be sent an email asking to confirm an appointment to interview. Successful applicants will move onto the next step of registration, complete the paperwork and sign up on the Platform.
    • Your profile will not be visible on the Platform until you complete the following details on the dashboard and make payment for the chosen subscription plan:
  1. Basic Info such as your name, your email address, your contact number, and the email address that you would like the quote requests sent to;
  2. Qualification, including where you are admitted to practice and your post-qualification experience
  3. Language
  4. Experience
  5. Area of Practice
  6. Brief description of your skillset
  7. Firm’s details such as the name of your firm, the address of your firm, a short description of your firm Social Profile Links
  8. Honors & Awards
  9. Previous Cases (Can mention Open/Closed as status)
  10. e-Books - Files attachments
  11. your headshot for your profile
    • Once you have completed the registration process you will be a registered member of the Website (the “Member”) and you agree to be bound by the Terms.
    • You warrant that any personal and/or registration information you provide to LPP Global Legal Consultancy will always be accurate, correct and up to date.
    • You understand that by supplying LPP Global Legal Consultancy with your personal information, you may receive regular emails, newsletters, telephone calls or SMS updates from LPP Global Legal Consultancy in order to keep you informed about LPP Global Legal Consultancy activities. If you do not wish to receive updates from LPP Global Legal Consultancy, you may contact LPP Global Legal Consultancy.
    • By applying for registration, you agree and confirm that you are a qualified and licensed Attorney of good repute in your country of origin and all the information provided by you is accurate and correct.
    • LPP Global Legal Consultancy recognizes and acknowledges that by joining the Platform, you will engage with other attorneys, law firms, and legal entities. LPP Global Legal Consultancy expects you to check for conflicts of interest and to honour professional and legal obligations under the applicable laws of the United Arab Emirates.
    • By registering on LPP Global Legal Consultancy’s Platform, you are expected to represent and warrant that you are under no obligation or restriction that would in any way interfere or conflict with the work to be performed for LPP Global Legal Consultancy and its’ clients.
    • As a legal professional, you must maintain professional liability and indemnity insurance at all times during your membership with LPP Global Legal Consultancy.
    • Automatic monthly renewal terms: Once you subscribe and are off the waitlist, LPP Global for Legal Consultancy will automatically process your Monthly Subscription fee in the next billing cycle. LPP Global for Legal Consultancy will continue to automatically process your Monthly Subscription fee each month at the then-current Monthly Subscription rate until you cancel your subscription. We explain how to cancel your Monthly Subscription below at the Section "Cancellation Policy".
    • Automatic monthly renewal terms: We bill your credit card for the Annual Subscription renewal fee in the first month of your next Annual Subscription. For example, let's say you purchased an Annual Subscription beginning in May 2019 and ending in April 2020. We will bill you for the second year (May 2020 to April 2021) in May 2020, unless you cancel your Annual Subscription before May 2019. You accept responsibility for all recurring charges prior to cancellation. Once you subscribe, LPP Global for Legal Consultancy will automatically process your Annual Subscription fee at the then-current Annual Subscription rate. We explain how to cancel your Annual Subscription below at the Section "Cancellation Policy".

4. Relationship with LLP Global for Legal Consultancy

4.1 All self-employed lawyers will be associated with LPP Global for Legal Consultancy as contractors. A contractor is not an employee of LPP Global for Legal Consultancy and is therefore not entitled to any benefits afforded to employees or partners of Contractor.

4.2 Registered lawyers will provide professional services to LPP Global Legal Consultancy and its’ clients as a self-employed lawyer, and nothing in the service contract/agreement between the legal professionals and LPP Global Legal Consultancy constitutes a relationship of employer and employee, principal and agent, partnership or joint venture between LPP Global for Legal Consultancy and the independent lawyer, and legal professionals shall not bind nor attempt to bind LPP Global for Legal Consultancy to any such contract.

5. Unauthorized Use and Information Changes

5.1 You must immediately notify us if your registration information changes or you learn of or have reason to suspect any unauthorized use of your account or any other breach of security. You are responsible for maintaining the confidentiality of your username and password and are fully responsible for all activities that occur under your username and password. You also agree that you will provide truthful and accurate information during the registration process. We may refuse to grant you a particular username for any reason, including, without limitation, if we have reason to believe that such username impersonates someone else, is protected by trademark or other proprietary rights, or is vulgar or otherwise offensive

6. LPP Global Legal Consultancy’s rights

6.1 LPP Global Legal Consultancy may, in its sole discretion, accept or refuse to provide its products and/or services to you at any time and for any reason.

7. Termination of Membership

7.1 The membership will terminate in the event of:

1. failure to renewal of subscription plan upon expiring

2. a material breach of any Terms or Condition

3. repetitive non-performance or no-delivery of the service

4. Any other violations of these Terms, including any of the prohibitions in this article, may result in suspension or termination of your access to the Services and/or removal of Your Content. LPP Global for Legal Consultancy may also terminate your account if GB determines that your conduct poses a risk or liability to the firm, or for any other reason as determined by LPP Global for Legal Consultancy in its sole discretion.

7.2 Upon termination of the membership with LPP Global Legal Consultancy, Legal Professionals will return to LPP Global Legal Consultancy any property, documentation, records or Confidential Information which is the property of LPP Global for Legal Consultancy within 3(three) days of expiry or termination.

8. Termination by Member

8.1 You may deactivate your account and discontinue your use of the Services at any time. In order to deactivate your account, please contact us at our (e-mail). You understand that Your Content may continue to exist and be used on or through the Service even after such deactivation.

9. Effects of Termination

9.1 The provisions of these Terms that by their content are intended to survive the expiration or termination of these Terms, including, without limitation, provisions governing ownership and use of intellectual property, representations, disclaimers, warranties, liability, indemnification, governing law, jurisdiction, venue, remedies, rights after termination, and interpretation of these Terms, will survive the expiration or termination of these Terms for their full statutory period.

10. Severability and Waiver

10.1 If any part of these terms is unlawful, void, or unenforceable, that part will be deemed severable and will not affect the validity and enforceability of the remaining provisions. The failure of a party to require performance of any provision will not affect such party’s right to require performance at any time thereafter, nor shall a waiver of any breach or default of these Terms or any provision of these Terms constitute a waiver of any subsequent breach or default or a waiver of the provision itself.

11. About the Services

11.1 The LPP Global Legal Consultancy provides an online platform to facilitate engagement between Legal Professionals and Clients seeking legal assistance.

12. The quotation process for a Client

12.1 Submission of a quote request a) A Client may submit a quote request by completing the provided form. b) When completing the form, the Client must provide a sufficiently detailed description of the Client’s legal requirements and any other relevant information and/or documents. c) Submitting a quote request does not form a lawyer/client relationship and is not protected by legal-client privilege. Notwithstanding the same, LPP Global Legal Consultancy takes every reasonable effort to ensure the privacy of briefs and other personal messengers on our Website, however, LPP Global Legal Consultancy cannot guarantee confidentiality. 12.2 Receipt of quotes from Legal Professionals a) Upon submission of a quote request, the Legal Professionals are provided with your contact details including your name, email and phone number in order to make contact and scope the quote request. You agree that by submitting a quote request, you consent to these Legal Professionals contacting you. You may receive a call from each individual Legal Professional that has been given the opportunity to quote. b) The independent quoting Legal Professional will specify the scope of work, time frame, fee (the “Fee for Service”) and the name of the solicitor responsible in the quote. The Fee for Service comprises of professional fees, disbursements, and a transaction fee retained by LPP Global Legal Consultancy. c) The Client should not rely on any information contained in a quote and in no way should it be seen as specific legal advice. 12.3 Acceptance of the quote a) By making the payment, the Client is taken to have accepted the quote. b) The Client must make payment for the Services prior to the commencement of the Services. c) The Services will only commence once payment is confirmed by LPP Global Legal Consultancy.

13.Engagement

13.1 A client / lawyer relationship is established once initial contact has been made between the Client and Legal Professional, and where the Legal Professional is required to provide a costs disclosure and service agreement, then the engagement only takes place after the service agreement has been accepted by the Client pursuant to the terms and conditions of the service agreement and disclosure agreement. LPP Global Legal Consultancy is not a party to the client/lawyer relationship. 13.2 The scope of the job is strictly limited to the matter agreed upon in the quote unless the Client and the Legal Professional have agreed on a new engagement.

14.Payment Fee

14.1 Monthly Subscription: By purchasing a Monthly Subscription, you agree to an initial and recurring Monthly Subscription fee at the then-current Monthly Subscription rate, and you accept responsibility for all recurring charges until you cancel your subscription. You may cancel your Monthly Subscription at any time, subject to the terms of our termination policy. 14.2 Annual Subscription: By purchasing an Annual Subscription, you agree to an initial pre-payment for one full year of service (after you are off the waitlist). After one year and annually thereafter, you will be billed a recurring Annual Subscription renewal fee at the then-current Annual Subscription rate. We will notify you before the renewal fee is billed. You may cancel your Annual Subscription anytime before the next billing cycle, subject to the terms of our termination policy.

15.Non-refundable fee

15.1 LPP Global for Legal Consultancy will charge you a non-refundable “Subscription Fee” in the amount set forth on the Services. The Fee will be charged to your credit card or other payment methods. If you have a credit in your Account at the time of processing the Fee or paying for Subscription, the credit will be applied before we charge your credit card or other payment methods then available. By submitting your payment information to us, you authorize us to charge your credit card or other payment methods then available in accordance with these Terms. You represent that you will not use any credit card or other forms of payment unless you have all the necessary authorization to do so. We will not be liable in the event of another person or others acting with or without your permission use your credit card, PayPal account, or other means of payment to make orders on the Services; however, you may report any unauthorized use to us, and we will use reasonable measures within our control to help prevent future unauthorized use of your credit card or other payment method.

16. Conformity, Performance, and Compliance

16.1 All independent legal practitioners registered on the LPP Global Legal Consultancy’s Platform represents and warrants that all the services: a) shall be performed in a workmanlike manner and with professional diligence and skill in the timeframe as agreed with LPP Global Legal Consultancy or its’ client, b) conform in all material respects to the specifications and functions as agreed with LPP Global Legal Consultancy or its’ clients, c) is in compliance with the applicable UAE and International laws, and d) ensure appropriate and sufficient resources and secured communication whether human, technological, logistical or otherwise to provide the service. All reports, records, and information must be provided to LPP Global Legal Consultancy as and when required to provide feedback and assessment of the service. 16.2 LPP Global Legal Consultancy will report about any deficiencies in writing within 30 days in order to receive warranty remedies. If the deficiencies are not rectified within 5 days, LPP Global for Legal Consultancy shall be entitled to recover the fees paid for the portion of the Services or Work Product which is deficient.

17.Completion of the professional services

17.1 The Legal Professional acknowledges that LPP Global Legal Consultancy makes payment on 30-day terms from the date of the invoice or from the date the invoice is required to be paid, whichever is later.

18. General acknowledgement by Client and Legal Professional

18.1 The Legal Professional understands that it is important for the Legal Professional to be precise in describing the scope of the work as it will be relied upon by the Client. 18.2 The Client acknowledges that the Legal Professional is not required to perform any work that falls outside the scope of the work provided. Where there are changes to the instructions or where there is additional work, the Legal Professional is entitled to charge additional fees and must notify LPP Global Legal Consultancy prior to providing a further quote for additional services. 18.3 The Legal Professional is required to comply with the professional obligations which apply to them such as providing a Service Agreement and Disclosure Statement where applicable. 18.4 The Legal Professional understands and agrees that the quote requests are provided on an ad hoc basis and that LPP Global Legal Consultancy has no obligation to provide any quote requests to the Legal Professional.

19.General Terms

19.1 It is Client’s responsibility to ensure that the Services available on the Website meet their requirements. Before acting on any information, we recommend that Clients must consider whether it is appropriate for their circumstances, carry out their own research and seek professional advice, where necessary. Information provided on the Website and Services must not be relied upon for legal decisions. 19.2 LPP Global Legal Consultancy Website provides suggestions on the legal services that the Client may need based on the Client’s recent purchase records and/or other Clients’ actions by using an automated software and thus are for informational purposes only. The suggestions do not in any way constitute legal advice. 19.3 The Client must make payment for the Services prior to the commencement of Services. The Services will only commence once payment is confirmed by LPP Global Legal Consultancy. 19.4 LPP Global Legal Consultancy expects that the Legal Professionals and Clients exchanging information electronically are well aware of the risks deriving from electronic communication: messages may get delayed or lost, confidential and personal information may be intentionally or unintentionally modified, stolen or disclosed to third parties. LPP Global Legal Consultancy is not liable for the risks related to electronic communication of digitally formatted information, provided that LPP Global Legal Consultancy has taken all reasonable precautions.

20. Cancellation/Refund

20.1 If a Client is unsatisfied with the Services the Client has paid for, the Client may notify LPP Global Legal Consultancy within 30 days of purchase and LPP Global Legal Consultancy will attempt to resolve Client’s concerns. 20.2 In case Client terminates the engagement prior to work completion, the Client will be required to pay for the professional fees and charges for work done, and for expenses and disbursements incurred, up to the date of termination, plus any transaction fees charged by LPP Global Legal Consultancy.

21.Confidential Information

21.1 Confidential information (the ‘Confidential Information”) refers to any data or information relating to LPP Global for Legal Consultancy, whether business or personal, which would reasonably be considered to be private or proprietary to LPP Global Legal Consultancy and that is not generally known and where the release of that Confidential Information could reasonably be expected to cause harm to LPP Global Legal Consultancy; any documents or information created, received or obtained by the Client from or on behalf of the Legal Professional, LPP Global Legal Consultancy or any other party in respect of any consultation; in relation to LPP Global Legal Consultancy, it also includes all non-public information pertaining to LPP Global Legal Consultancy’s business (including, without limitation, our pricing information, the identity or participation of specific Legal Professionals, and any content marked confidential). Additionally, the project/case details, the preparation and specifications of the Deliverables shall in all instances be treated as confidential and not use for personal gain or promotion without the written consent of LPP Global Legal Consultancy. 21.2 By accepting the Terms as a Client you acknowledge and agree that you will not, during the course of the engagement or thereafter, use, disclose, solicit, or misappropriate any Confidential Information, trade secrets, or other proprietary information that belongs to any third-party, except with the prior written consent of that party or as required by law. 21.3 As a registered legal professional, you acknowledge that during the course of your service, you will have access to confidential and proprietary information related to LPP Global Legal Consultancy’s business and its’ clients. Therefore, by registering on LPP Global Legal Consultancy’s Platform, you agree not to disclose, divulge, reveal, report or use, for any purpose, any Confidential Information which you have obtained before, during or after completion of the registration process, unless you have received prior written consent of LPP Global Legal Consultancy or as required by law. The obligations of confidentiality will apply during the Term of Service and will survive indefinitely upon termination of Agreement with LPP Global for Legal Consultancy .

22.Non-Solicitation

22.1 Legal Professional’s Non-Solicitation of Clients a) Where a Client (which includes his/her/its employees, agents, representatives, related entities or associated entity) contacts a Legal Professional for the engagement of further legal services outside the LPP Global Legal Consultancy Website, the Legal Professional must direct the Client to engage the Legal Professional via the LPP Global Legal Consultancy’s Website. b) Legal professional must not approach directly or indirectly the clients of LPP Global Legal Consultancy or accept any job from the clients of LPP Global for Legal Consultancy. You must further agree to pay damages to the extent of 10 times of the fee received to LPP Global for Legal Consultancy in case of any breach of this condition. c) LPP Global Legal Consultancy will remove a Legal Professional if they are found not to be directing Clients back to the Website. In the event the Legal Professional retains the Client outside the Website, the Legal Professional acknowledges and agrees that the Legal Professional is liable to LPP Global Legal Consultancy for the equivalent of 10 times of the fee received against all services rendered by the Legal Professional to the Client outside the Website. d) For the avoidance of doubt, the Legal Professional must use the Website and/or Services as their exclusive method to be retained by the Client unless LPP Global Legal Consultancy agrees otherwise in writing. 22.2 Both, the Legal Professional and the Client grant LPP Global Legal Consultancy the right to examine the books, accounts and records of the Client and the Legal Professional, all at such reasonable times as may be requested by LPP Global Legal Consultancy to ascertain whether the Client or the Legal Professional are in breach of this clause 16 and the Client and the Legal Professional agree to deliver up a copy of the Legal Professional’s Service Agreement and Disclosure Statement within 7 days from LPP Global Legal Consultancy’s written request. 22.3 Both the Legal Professional and the Client acknowledge and agree that this clause 16 is fair and reasonable under the circumstances and these restraints are reasonably necessary to protect LPP Global Legal Consultancy’s business interests as it has expended significant resources in advertising, marketing and staffing to make its Services possible. 22.4 Independent lawyers registered on LPP Global Legal Consultancy’s Platform shall not solicit for employment or hire LPP Global Legal Consultancy’s and its clients’ current or future employees, either directly or indirectly, during the term of their service, without obtaining the other prior written approval. 22.5 On breaching this condition, the legal professional acknowledges and agrees that the legal professional will be liable to compensate LPP Global Legal Consultancy by paying a fee equivalent to 3 months’ salary of the employee’s new compensation, annualized for the first year.

23.Copyright and Intellectual Property

23.1 All of the Work Product belongs to LPP Global Legal Consultancy and all of the Work Product must be assigned to LPP Global Legal Consultancy. 23.2 Any copyrightable work prepared in whole or in part for LPP Global Legal Consultancy and its clients shall be deemed a “work made for hire” under the copyright laws, and LPP Global Legal Consultancy shall own all rights therein. You must disclose such Work Product and copyrightable work to LPP Global Legal Consultancy and perform all actions reasonably requested by LPP Global Legal Consultancy (whether during or after the Agreement Term) to establish and confirm LPP Global Legal Consultancy’s ownership (including, without limitation, assignments, consents, powers of attorney, and other instruments). 23.3 Legal professionals must not use the Intellectual Property for any purpose other than that contracted for as per the agreement Terms and Conditions except with the written consent of LPP Global Legal Consultancy. Legal professionals will be responsible for any and all damages resulting from the unauthorised use of the Intellectual Property.

24.Disclaimer of warranties, indemnification, limitation of liability

24.1 To work with LPP Global Legal Consultancy, you must indemnify LPP Global for Legal Consultancy, its officers, directors, members, employees, representatives, agents and the like against all claims, losses, expenses, damages, penalties and costs arising from a breach of professional duty in the provision of professional services as a direct or indirect result of: (a) any breach of contractual agreement; (b) any act or omission (including negligent acts or omissions); (c) any alleged or actual infringement (d) any claim of personal injury, death, property damage, costs, liabilities and/or attorney fees (e) any liability, debt or other obligation that may arise as a direct or indirect result from your operations under the service agreement or otherwise; (f) any claim or demand against LPP Global Legal Consultancy in relation to any tax, levy, registration or insurance required by law to be paid by you; (g) any damage to LPP Global Legal Consultancy’s property that is under your use 24.2 You agree to defend, indemnify, and hold harmless of LPP Global For Legal Consultancy, our officers, members, managers, employees, and agents from and against any and all claims, liabilities, damages, losses, demands, or expenses, including attorney’s fees and costs and expenses, arising out of or in any way connected with: (1) your use of the services, including your purchase of products or subscription to a membership; (2) your violation of these terms, (3) any of your content you post or provide through the services, (4) your violation of any law or the rights of any third party, and (5) your negligence or wilful misconduct.

25.Disclaimer of Warranties

25.1 To the maximum extent permitted by law, the services are provided “as is” and “as available,” and at lawyer sole risk. To the maximum extent permitted by law, LPP Global Legal Consultancy expressly disclaim all warranties of any kind, whether express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular use or purpose, title, and non-infringement. Without limitation, LPP Global Legal Consultancy make no warranty that the services will meet your requirements, that use of the foregoing will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the foregoing or any information or content found on the services will be accurate or reliable, that defects in the operation or functionality of the services will be corrected, that the services and any content or information found on the services will be virus-free, or that the quality of any information, content, or other materials obtained through the services will meet your expectations. Any content or other materials downloaded or otherwise obtained through the use of the services is done at your sole risk, and you will be solely responsible for any damage that results from the download of any such material. Further, please note that no advice or information, obtained by you through the services or any product will create any warranty not expressly provided for in these terms. some jurisdictions do not allow the exclusion of certain warranties. accordingly, some of the above limitations may not apply to you.

26.No Responsibility

26.1 By providing Your Content via the Services, you understand and agree that you do so at your own risk and that we are not responsible for the damage or loss of any Your Content. You agree that we are not liable for any legal violation caused by your use or misuse of Your Content or other information transmitted, monitored, stored, or received while using the Services. We reserve the right to amend or delete any of Your Content (along with the right to terminate or restrict use of or access to the Services) that in our sole discretion violates any provision of these Terms.

27.Limitation of Liability

27.1 You expressly agree to waive and release and hereby waive and release, any and all claims and liabilities against LPP Global Legal Consultancy that arise from your use of the services or, including, without limitation, your use of the services in violation of this these terms, the rental and sales agreement, the referral policy, or any federal, state, or local laws or regulations. 27.2 Under no circumstances, shall LPP Global Legal Consultancy or any of its officers, directors, managers, shareholders, employees, agents, or contractors be liable for any direct or indirect losses or damages arising out of or in connection with the use of or inability to use the services. 27.3 This is a comprehensive limitation of liability that applies to all losses and damages of any kind (whether general, special, consequential, incidental, exemplary, or otherwise, including loss of data, income or profits), whether in contract, negligence, gross negligence, or other tortious action, even if an authorized representative of LPP Global Legal Consultancy has been advised of or should have known of the possibility of such damages. 27.4 If you are dissatisfied with the services, any or with these terms, your sole and exclusive remedy is to discontinue using the services. you acknowledge, by your use of the services, that such usage is at your sole risk and you accept the terms and conditions stated in these terms, including the limitation of liability and disclaimers set forth herein. 27.5 In the event the exclusion or limitation of liability for consequential or incidental damages contained in these terms shall be determined by a court to be invalid or unenforceable, then such provisions shall be reformed to the maximum limitation permitted by applicable law. In any event, the total maximum aggregate liability under these terms or the use or exploitation of any or all parts of the services in any manner whatsoever shall be limited to ten thousand dirham (AED 10,000).

28.Indemnity

28.1 You agree to indemnify LPP Global Legal Consultancy, its officers, directors, members, employees, representatives, agents and the like against all claims, losses, expenses, damages, penalties and costs arising from a breach of professional duty in the provision of professional services as a direct or indirect result and its officers, directors, employees, sublicensees, agents, affiliates, successors and assigns from and against any and all claims, damages, liabilities, losses, settlements, costs and expenses (including, without limitation lawyers’ fees and court costs) which arise out of or relate to your use of the Website and/or Services, including but is not limited to: a) any misuse of the Website or Services by you, including and without limitation, any inaccurate, dishonest, fraudulent, incomplete, negligent, unlawful, wrongful, or omission or criminal act by you; b) any act or omission (including negligent acts or omissions) of the Legal Professional in the performance or purported performance of any Services; c) the use of any intellectual property created in respect of the Services not contemplated by the Terms or as a consequence of a breach of the Terms; or d) your breach of the Terms; e) any activity which you engage on or through LPP Global Legal Consultancy.

29.Restrictions on use

29.1 The rights granted to you by these Terms will remain in force only for so long as these Terms remain in effect. You may not rent, transfer, assign, commercially exploit, resell or sublicense access to the Service to any third-party. You may use the Site and the Services (including the Downloadable Tools) only for your personal, non-commercial purposes. You further agree not to combine or integrate the Site and the Services (including the Downloadable Tools) with hardware, software or other technology or materials not provided by us. You may not modify or create any derivative product based on the Site, the Site and the Services (including the Downloadable Tools). You may not decompile, disassemble, reverse engineer or otherwise attempt to obtain or perceive the source code from which any component of the Site and the Services (including the Downloadable Tools) is compiled or interpreted, and nothing in these Terms should be interpreted as granting you any right to obtain or use source code. Except as expressly stated herein, no part of the Site or Services (including the Downloadable Tools) may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means. Any future release, update, or other addition to functionality of the Site or Services shall be subject to these Terms. You agree not to use the Site and the Services (including the Downloadable Tools) to: (a) violate any local, state, national or international law; (b) stalk, harass or harm another individual; (c) collect or store personal data about other users; (d) impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity; or (e) interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services. Without our written consent, you may not (i) use any high volume, automated, or electronic means to access the Services (including, without limitation, robots, spiders or scripts); or (ii) frame the Site, place pop-up windows over its pages, or otherwise affect the display of its pages. You promise that any information about yourself that you voluntarily provide to us will be true, accurate, complete and current.

30.Take Down Procedures; Copyright Agent

30.1 If you believe any LPP Global for Legal Consultancy Content infringes your copyright, you may request removal of those materials (or access thereto) by contacting LPP Global for Legal Consultancy copyright agent (identified below) and providing the following information: identification of the copyrighted work that you believe to be infringed, including a description of the work, and where possible a copy or the location (e.g., URL) of an authorized version of the work; identification of the material that you believe to be infringing and its location, including a description of the material and its URL or any other pertinent information that will allow us to locate the material; your name, address, telephone number and e-mail address; a statement that you have a good faith belief that the complained of use of the materials is not authorized by the copyright owner, its agent, or the law; a statement that the information that you have supplied is accurate, and indicating that “under penalty of perjury,” you are the copyright owner or are authorized to act on the copyright owner’s behalf; and a signature or the electronic equivalent from the copyright holder or authorized representative.

31.Right to Suspend

31.1 LPP Global for Legal Consultancy reserves the right, in our discretion, to suspend your Account, your use of the Services or the sending of Fixes at any time at our discretion including, as necessary to protect the security or operation of the Services.

32.Feedback

32.1 In the event that you provide us any ideas, thoughts, criticisms, suggested improvements or other feedback related to Products or the Services (collectively “Feedback”), you agree we may use the Feedback to: (a) improve our Services or any Products and (b) promote the Services and Products, and that you will not be due any compensation for your Feedback that is used in these ways. To the extent that we have your name, likeness, or voice, this will be part of the Feedback and you agree that we may use your name, likeness and voice in the same manner that we can use other Feedback. You grant to us a worldwide, royalty-free, fully paid, perpetual, irrevocable license to use, reproduce, modify, translate, distribute, perform, display, import, sell, offer for sale, make, have made and otherwise exploit the Feedback in any form, media, or technology, whether now known or hereafter developed, and to allow others to do the same. This is true whether you provide the Feedback on the Services or through any other method of communication with us, unless we have entered into a separate agreement with you that provides

33. Force Majeure

33.1 LPP Global for Legal Consultancy will not be liable for, or be considered to be in breach of these Terms on account of, any delay or failure to perform as required by these Terms as a result of any cause or condition beyond LPP Global for Legal Consultancy’s reasonable control.

34.Dispute Resolution

34.1 In case of a dispute, you must first give LPP Global Legal Consultancy a written notice setting out the nature of the dispute and discuss the issue. LPP Global Legal Consultancy expects you to make reasonable attempts to settle any dispute which may arise. If the issue is not resolved, Fujairah Courts shall be competent courts to hear any disputes arising between the parties in respect the terms of the service contract/agreement.

35.Notice

35.1 Except as otherwise provided herein, all notices, demands or communications will be in writing and shall be delivered electronically, in person, by fax or by post.

36.Relationship

36.1 Nothing in this contract is intended to create a partnership, joint venture, agency or employment relationship with either the Client or Legal Professional.

37.Governing Law

37.1 The Terms are governed by the laws of United Arab Emirates. Any dispute, controversy, proceeding or claim of whatever nature arising out of or in any way relating to the Terms and the rights created hereby shall be governed, interpreted and construed by, under and pursuant to the laws of United Arab Emirates.

38.Jurisdiction

38.1 Fujairah Courts and tribunals shall have exclusive jurisdiction to settle any claim, dispute or matter of difference that may arise out of or in connection with the Services (including without limitation claims for set-off or counterclaim) or the legal relationships established by the binding Agreement.

39.Entire Agreement

39.1 The terms constitute the entire agreement between the parties concerning the subject matter of the agreement and supersede all previous communications, representations, inducements, undertakings, agreements or arrangements between the parties.

40.Waiver

40.1 A waiver of any right under this Agreement must be in writing signed by the party granting it. 40.2 A waiver is only effective in relation to the particular obligation or breach in respect of which it is given. It is not to be considered as an implied waiver of any other obligation or breach or as an implied waiver of that obligation or breach in relation to any other occasion.

41.Assignment

41.1 LPP Global Legal Consultancy may assign or transfer its rights or obligations under these Terms without your consent. 41.2 You cannot assign or transfer your duties or rights under this agreement with LPP Global Legal Consultancy without prior written approval of LPP Global Legal Consultancy.

42.Amendments/Changes

42.1 LPP Global Legal Consultancy reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 (change this) days' notice prior to any new Terms taking effect. What constitutes a material change will be determined at our sole discretion. 42.2 We reserve the right to modify the Site and/or Services at any time without notice. If you object to any changes to the Site or Services, your sole recourse will be to cease using the Site and Service, terminate your Subscription for a pro-rata refund of any amounts you have pre-paid for the Subscription (if any), or not renew the Subscription (if applicable). Continued use of the Site or Services following the posting of any such changes will indicate your acknowledgment of such changes and satisfaction with the Services as so modified. We also reserve the right to discontinue the Site and/or Services at any time without notice. We will not be liable to you or any third-party should we exercise our right to modify or discontinue the Site or the Services, except and if otherwise expressly set forth in Section V.

43.General Terms

43.1 You agree to comply with all laws, rules and regulations that apply to your use of the Site, the Services (including the Downloadable Tools) and the Products. Any delay or failure by us to exercise or enforce any right or provision of these terms will not constitute a waiver of such right or provision. If any provision of these terms is found by a court of competent jurisdiction to be invalid, you agree that the court should endeavor to give effect to the intentions reflected in the invalid provision, and the other provisions of these Terms shall remain in full force and effect. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word including means including without limitation. These Terms constitute the entire agreement between you and us with regard to the matters described above. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Company’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void.
